Your access to and use of the service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.


Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring basis depending on the relevant subscription purchased. If you do not wish to renew the subscription, you must inform us at least seven days prior to the renewal date.


Ransomware Protection

All Ransomware protection subscriptions (service) only mitigate the risks of Ransomware and other cyber attacks. Due to the nature of Ransomware and other cyber attacks, they can not fully protect a business from the effects of a successful attack. The purpose is to mitigate the risks of such attacks and enable rapid recovery of data and systems in the event of a successful attack.


Additional Charges

Additional services, such as data or operating system recovery, virus removal, Ransomware removal and recovery and other necessary services to restore device functionality, will incur a fee calculated at the standard hourly rate on top of the delivery, maintenance, and supervision provided by the paid subscription plan.


Unlimited BAU Support Subscriptions

1. The unlimited BAU support subscription plan is valid on a monthly or yearly subscription and will automatically renew unless cancelled. 2. This subscription plan is exclusively for Business As Usual (BAU) IT support and does not include any project-related work or major system upgrades. Such work will be charged separately. 3. This subscription plan covers all IT systems and devices under the control of the client, for which Resolu has been contracted to provide support. Resolu will not be responsible for any third-party systems or devices. 4. This subscription plan will cover IT support and maintenance for the number of devices and users as agreed upon during the subscription process. If additional devices or users need support, the subscription plan will need to be upgraded accordingly. 5. Resolu's BAU IT support services are available during standard business hours (9 am - 5 pm, local time). Any support required outside of these hours will be subject to additional charges. 6. The client must agree for remote management software to be installed on all relevant systems and devices in order to receive support. 7. Resolu reserves the right to terminate this subscription plan in the event of any breach of the terms and conditions. In such cases, no refunds will be issued. 8. The subscription plan fee is payable in advance and non-refundable, except for cases where Resolu is unable to provide support due to technical limitations. 9. Resolu will endeavour to provide fast and effective support, but cannot guarantee resolution times or outcomes. 10. The client must notify Resolu of any changes to their IT systems or devices that may impact the BAU IT support services provided. 11. The terms and conditions of the unlimited BAU IT support subscription plan may be amended by Resolu from time to time, with notice given to the client.


Fees and Payments

The Services are available under subscription plans of various durations. Payments for subscription plans of a duration of less than a year can be made only by Credit Card. Your subscription will be automatically renewed at the end of each subscription period unless you inform us that you do not wish to renew the subscription. At the time of automatic renewal, the subscription fee will be charged to the Credit Card last used by you. We provide you with the option of changing the details if you would like the payment for the renewal to be made through a different Credit Card. If you do not wish to renew the subscription, you must inform us at least seven days prior to the renewal date. if you have not informed us that you do not wish to renew the subscription, you will be presumed to have authorised Resolu to charge the subscription fee to the Credit Card last used by you. Please click here to know about our Refund Policy. From time to time, we may change the price of any Service or charge for use of Services. Any increase in charges will not apply until the expiry of your then-current billing cycle.

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for all comments and material uploaded to our website (the “Service”)

RESOLU MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF THE SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. Limitation of Liability

YOU AGREE THAT RESOLU SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF RESOLU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL RESOLU'S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS SUCH SERVICE.


Indemnification

You agree to indemnify and hold harmless Resolu, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney's fees and costs) arising out of or relating to any claims that you have used the Services in violation of another party's rights, in violation of any law, in violations of any provisions of the Terms, or any other claim related to your use of the Services, except where such use is authorised by Resolu.


Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
